Terms and Conditions of Use

Part A:

Please read these Terms and Conditions (“Terms”) carefully before accessing or using ledgergenie.ai (the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. ACCEPTANCE OF TERMS

By registering an account, accessing any feature of the Platform, or clicking ‘I Agree’ during sign-up, you confirm that you have read, understood, and accepted these Terms on behalf of yourself or the organization you represent. You represent that you have the legal authority to bind such organization.

2. WHO WE ARE

LedgerGenie.ai is an AI-powered bookkeeping automation platform developed and operated by IBN Technologies LLC (“IBN Technologies”, “we”, “us”, or “our”). The Platform is available to users in the United States, the United Kingdom, and other permitted jurisdictions. 3. ELIGIBILITY

You must be at least 18 years of age and a duly authorized representative of a business entity to register for and use the Platform. LedgerGenie is intended for use by accounting professionals, CPA firms, SMBs, startups, and finance teams. It is not intended for personal, household, or consumer use.

4. DESCRIPTION OF SERVICES

LedgerGenie provides a cloud-based bookkeeping automation platform that includes AI-driven transaction categorization; rule-based workflow automation; two-way QuickBooks integration; vendor normalization; multi-entity and multi-client management; audit trail and reporting tools; and such other features as may be made available from time to time (collectively, the “Services”). Features marked as ‘Coming Soon’ are not yet available and may change without notice.

5. FREE TRIAL

LedgerGenie may offer eligible new users a free trial of the Platform. Free trial access is subject to the Free Trial Terms & Conditions set out in Part B of this document, which are incorporated herein by reference. By activating a free trial, you agree to those terms.

6. SUBSCRIPTIONS AND BILLING

LedgerGenie offers paid subscription plans on monthly and annual billing cycles. By purchasing a subscription, you authorize LedgerGenie to charge your designated payment method at the applicable rate. All fees are non-refundable unless expressly stated otherwise or required by applicable law. Prices are exclusive of taxes unless otherwise stated. We reserve the right to modify pricing with 30 days’ prior written notice.

7. CANCELLATION OF PAID SUBSCRIPTION

You may cancel your paid subscription at any time by sending a cancellation request to productsupport@ledgergenie.ai from your registered email address. Upon cancellation, you retain access to the Platform until the end of your current billing period. No refunds will be issued for the unused portion of any billing period. Cancellation requests received after a billing cycle has commenced take effect from the next renewal date.

8. INTELLECTUAL PROPERTY

All content, software, branding, trademarks, and technology comprising the Platform including the LedgerGenie name, logo, and AI models are the exclusive property of IBN Technologies or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for your internal business purposes during your subscription period. Nothing in these Terms grants you ownership of any intellectual property.

9. CUSTOMER DATA AND PRIVACY

You retain ownership of all financial and transactional data you input into the Platform (‘Customer Data’). By using the Platform, you grant LedgerGenie a limited license to process Customer Data solely as necessary to provide the Services. LedgerGenie will not sell your Customer Data. Our use of your data is governed by our Privacy Policy, which is incorporated herein by reference. For UK users, data processing is subject to the UK GDPR and the Data Protection Act 2018.

10. AI ACCURACY DISCLAIMER

The categorization, reconciliation, and financial insights provided by LedgerGenie are generated by automated rule engines and machine learning models. While we target industry-leading accuracy, no AI system is infallible. You are responsible for reviewing, verifying, and approving all automated outputs before relying on them for financial reporting, tax filing, or any other purpose. LedgerGenie shall not be liable for any errors in AI-generated outputs.

11. SECURITY

LedgerGenie employs industry-standard security measures including TLS encryption in transit, AES-256 encryption at rest, role-based access controls, and SOC 2-aligned infrastructure practices. However, no system can guarantee absolute security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

12. ACCEPTABLE USE

You agree not to: (a) use the Platform for any unlawful purpose; (b) attempt to reverse-engineer or extract any part of the Platform’s algorithms or AI models; (c) use automated scraping tools against the Platform; (d) upload or introduce malicious code; (e) use the Platform to process data for third parties outside your authorized organization without our written consent; (f) circumvent any access controls or security features.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, LedgerGenie’s aggregate liability to you for any claims arising from these Terms or your use of the Platform shall not exceed the total fees paid by you in the 12 months preceding the claim. In no event shall LedgerGenie be liable for indirect, incidental, special, punitive, or consequential damages, including loss of revenue, loss of data, or loss of profits, even if advised of the possibility of such damages.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless LedgerGenie and IBN Technologies, their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use or misuse of the Platform; (b) your breach of these Terms; (c) your violation of any applicable law; or (d) any data you provide to the Platform.

15. MODIFICATIONS TO TERMS AND SERVICES

LedgerGenie reserves the right to modify these Terms at any time. Material changes will be notified to registered users by email or in-platform notification at least 14 days before taking effect. Continued use of the Platform after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must cease using the Platform and cancel your subscription.

16. GOVERNING LAW AND DISPUTE RESOLUTION

For users in the United States: These Terms shall be governed by the laws of the State of [Delaware / State of IBN Technologies’ US entity], and disputes shall be resolved by binding arbitration under the JAMS rules, except for claims that may be brought in small claims court. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS ACTION. For users in the United Kingdom: These Terms shall be governed by the laws of England and Wales, and disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. THIRD-PARTY INTEGRATIONS

The Platform integrates with QuickBooks Online and other third-party services. LedgerGenie does not control and is not responsible for the practices of third-party providers. Your use of QuickBooks and other integrations is subject to those providers’ own terms of service. Any data shared with third-party integrations is governed by your agreements with those providers.

18. TERMINATION

LedgerGenie may suspend or terminate your access to the Platform with or without notice if: (a) you breach these Terms; (b) your payment fails and is not resolved within 7 days; (c) we reasonably believe your account is being used fraudulently. You may terminate your account at any time via your account settings. Upon termination, your right to access the Platform ceases immediately. Customer Data will be retained for 30 days post-termination, after which it may be deleted.

Free Trial Terms & Conditions

Part B:

These Free Trial Terms are incorporated into and form part of the LedgerGenie Terms & Conditions. By activating a free trial, you agree to these terms in addition to the main Terms & Conditions.

1. FREE TRIAL ELIGIBILITY

New users who register on LedgerGenie.ai are eligible for one free trial per organization. The free trial is non-transferable, valid for a single organization or legal entity, and available only once per email domain (for organization accounts). Users who have previously activated a free trial under any account are not eligible for a new trial.

2. TRIAL PERIOD AND FEATURE ACCESS

The free trial grants access to selected plan features. Trial access includes the following, depending on the applicable user category:

CPA & Accounting Firms

Up to 1,000 transactions included
Connect up to 3 QuickBooks Online companies
Guided onboarding support

Business Clients

No setup fee during trial (standard $100 setup fee waived)
One quarter (3 months) of transaction processing at no additional transaction cost

No charges will be levied during the active trial period, provided usage remains within stated trial limits. LedgerGenie reserves the right to limit or expand trial feature access at its discretion.

3. PAYMENT INFORMATION DURING TRIAL

A valid payment method is required to activate the free trial. This ensures a seamless transition after the trial period. Your payment method will not be charged during the active trial window.

4. AUTO-RENEWAL AND BILLING AFTER TRIAL

Unless you cancel before the trial period ends, your account will automatically convert to the paid subscription plan you selected at sign-up. Your payment method on file will be charged at the then-applicable plan rate on a [monthly / annual] billing cycle. You will receive an email reminder [5 days] before your trial expires, notifying you of the upcoming charge. This pre-expiry notice is a regulatory expectation in several markets including the EU and UK.

5. CANCELLATION BEFORE TRIAL ENDS

You may cancel your free trial at any time before the trial period ends without incurring any charges by sending a cancellation request to productsupport@ledgergenie.ai from your registered email address. Cancellation requests received by email will be processed within [2] business days. A written confirmation will be sent to your registered email address. No charges will be applied to the saved payment method once cancellation is confirmed. LedgerGenie shall not be liable for charges in the event of late cancellation requests received after the trial expiry date.

6. TRIAL DATA AFTER EXPIRY

Any data entered into the platform during the free trial period including connected QuickBooks accounts, transaction data, rules, and categorizations will remain accessible if you convert to a paid plan. If you cancel or do not upgrade, your data will be retained for 30 days post-trial expiry, after which it may be permanently deleted. LedgerGenie is not responsible for the recovery of data after this retention period.

7. NO HIDDEN CHARGES

LedgerGenie guarantees that no billing will occur during the free trial period. Any add-on purchases or upgrades initiated by the user during the trial will require explicit written consent before any charges are applied. A clear summary of all pending charges will be displayed before any billing occurs.

8. TRIAL ABUSE POLICY. NO HIDDEN CHARGES

LedgerGenie reserves the right to suspend or revoke free trial access if a user or organization is found to have: (a) previously activated a trial under a different account or email address; (b) registered multiple accounts for the same organization; (c) engaged in usage that violates the Platform’s fair use policy or these Terms. In cases of suspected abuse, LedgerGenie may require identity or organization verification before restoring access.

LedgerGenie reserves the right to modify, suspend, or discontinue the free trial offering at any time. Registered trial users will receive at least 7 days’ prior notice of any material changes to trial terms. Changes to trial duration, feature access, or billing terms will be communicated via email to the registered account holder.

10. RELATIONSHIP TO MAIN TERMS

These Free Trial Terms are supplemental to and form part of the main LedgerGenie Terms & Conditions. In the event of any conflict between these Free Trial Terms and the main Terms, these Free Trial Terms shall prevail with respect to the trial period. Following the trial period, the main Terms & Conditions govern your subscription.
